CoreClaw Terms of Service

Welcome to the services provided by CoreClaw ("the Platform" or "we"). These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between you (the "User" or "you") and CoreClaw regarding the use of the platform and related services (including but not limited to the website, API, cloud execution environment, etc.).

1. Definitions

1.1 "Platform":

Refers to the website, client applications, and associated cloud technical services operated by CoreClaw.

1.2 "User":

Refers to any individual or entity that registers, logs in, accesses, or uses the services of the Platform. Users are categorized as:

1.2.1 "Developer":

Refers to users who upload, publish, sell, or license their crawler scripts on the Platform.

1.2.2 "User" (Service User):

Refers to users who purchase, rent, or run scripts provided by developers to obtain data.

1.3 "Script":

Refers to computer code (typically web crawlers or data extraction programs) uploaded by developers to the Platform, used to automate access to internet resources and extract or process data.

1.4 "Content":

Includes but is not limited to scripts, script descriptions, documentation, user profiles, comments, and data outputs obtained by running scripts.

1.5 "Service":

Refers to all functions provided by the Platform, including but not limited to the script marketplace, cloud execution environment, data storage, transaction payment, community communication, etc.

2. Reading and Acceptance

2.1 Obligation to Read

Before registering or using this service, please carefully read and understand all contents of the Terms.

2.2 Key Clauses

Please pay special attention to clauses regarding limitation of liability, risk allocation, and intellectual property.

2.3 Refusal of Treatment

If you do not agree with the contents of the Terms, please immediately stop registration or use of the services.

3. Account Registration and Eligibility

3.1 Age Requirement

You confirm that at the time of registration, you are a natural person, legal person, or other organization with full civil capacity. If you are under 18 years of age, please read and determine whether to agree to these Terms accompanied by a legal guardian.

3.2 Information Truthfulness and Completeness

You shall provide true, accurate, complete, and up-to-date information during registration, and maintain and update such information promptly. You assume full responsibility if we are unable to provide services or if any errors occur due to the information provided being untrue, outdated, or incomplete.

3.3 Account Security

You are responsible for properly safeguarding your account information and password, and assume full legal responsibility for all activities occurring under your account (including but not limited to script uploading, execution, transactions, and speech). You agree to notify us immediately upon discovering any unauthorized account use.

3.4 Identity Verification

CoreClaw does not currently mandate real-name authentication but reserves the right to introduce necessary identity verification measures in the future based on legal requirements or business risks.

4. Service Content and Usage Rules

4.1 Script Review and Listing

4.1.1 Review Requirement

All scripts uploaded by developers must undergo pre-manual review by the Platform. They can only be listed on the marketplace after passing the review.

4.1.2 Review Principles

Core principles of the review include but are not limited to:

• Legality: Scripts and their intended use must not violate any applicable laws and regulations.
• Respect for robots.txt: Script designs must respect the robots.txt protocol of target websites and must not scrape content explicitly prohibited by that protocol.
• Reasonable Access Frequency: Scripts must have built-in mechanisms for reasonable delays and concurrent request limits to avoid imposing undue load or interference on target servers (i.e., Denial of Service attack risks).

4.1.3 Prohibited Domains

Scripts aimed at scraping the following categories of data are strictly prohibited unless the developer can provide proof of corresponding qualifications:

• Financial data requiring special licenses from financial regulatory authorities (e.g., real-time stock trading data, non-public financial reports);
• Precise map or geographic coordinate data requiring surveying and mapping qualifications;
• Full-text news content strictly protected by copyright (noting reprint permissions and quantity limits);
• Non-public/Encrypted data: Non-public interface data obtained by cracking security measures, stealing Cookies or Tokens, etc.

4.1.4 Nature of Review Statement

Platform review is only a preliminary formal inspection aimed at removing obvious malicious code or illegal content. Approval does not represent any guarantee by the platform regarding the "legality," "safety," or "effectiveness" of the script, nor does it mean the platform shares infringement liability with the developer.

4.2 Intellectual Property Rights Statement

4.2.1 Script Intellectual Property

For scripts uploaded to the platform, the original intellectual property rights (including copyright) remain with the developer.

4.2.2 Platform License

Developers hereby grant CoreClaw a worldwide, royalty-free, irrevocable license allowing the platform to use, copy, and modify scripts for the purpose of providing this service (including but not limited to storage, display, distribution, running, and replication/modification to adapt to the execution environment).

4.2.3 Ownership of Output Data

Ownership of output data generated after running a script belongs to the user running that script. However, the user must ensure:

• The act of obtaining and using the data does not infringe upon the database rights or copyrights of the target website;
• The data is not used for any unfair competition behavior.

4.3 User Conduct Standards

You promise and guarantee that when using this service:

• 4.3.1 Compliance with Laws and Regulations: You will comply with all applicable national/regional laws, regulations, rules, ordinances, and legally binding normative documents.
• 4.3.2 Prohibited Acts: You shall not use the service to engage in any illegal, infringing, interfering, or destructive activities, including but not limited to:
  • Uploading scripts containing viruses, Trojans, or malicious code;
  • Attempting to circumvent the platform's security or review mechanisms;
  • Interfering with or disrupting this service or the servers and networks connected to it;
  • Engaging in any fraudulent transactions or money laundering activities;
  • Infringing upon the intellectual property, trade secrets, privacy, reputation, or other legitimate rights of others.
• 4.3.3 Special Obligations of Users: As a user, you understand and agree:
  • You bear full responsibility for the scripts you choose to run, the scraping targets, parameter settings, and the final data obtained;
  • You have the obligation to independently judge and ensure that your data scraping and usage behavior comply with the target website's terms of service, robots.txt protocol, and all relevant laws (such as Cybersecurity Law, Data Security Law, PIPL, GDPR, etc.);
  • You are the "Data Controller" of the "output data" described in Article 4.2 and independently bear all legal consequences arising therefrom.

5. Liability and Risk Allocation

5.1 Platform Nature Statement:

CoreClaw is a neutral technical platform and infrastructure provider. We provide a marketplace for script transactions and an environment for code execution, but we:

• Do not create or review the substantive content of scripts (except for the formal security and compliance preliminary review described in Article 4.1);
• Do not control which data users scrape;
• Do not own the data scraped by users;
• Do not participate in the specific use of data by users.

5.2 Disclaimer

○ "No Guarantee" Statement: Platform services are provided on an "as is" and "as available" basis. CoreClaw explicitly makes no warranties, express or implied, including but not limited to warranties of fitness, continuity, accuracy, reliability, timeliness, security, or non-infringement. Users must judge and assume risks for any data, information, or suggestions obtained through the service.

○ Script Risk: The platform makes no guarantees regarding the functionality, error-free nature, merchantability, or fitness for a particular purpose of any script. Scripts may become invalid due to target website revisions or anti-crawler strategy updates; this risk is assumed independently by users and developers.

○ Isolation of Legal Liability: Any claims, demands, losses, liabilities, costs, and expenses (including attorney fees) arising from a user's (including developers and users) violation of laws, these terms, or infringement of any third-party rights (including but not limited to illegal data scraping, copyright infringement, privacy infringement) shall be borne entirely by that user. If CoreClaw or any third party suffers losses as a result, the user shall be responsible for full compensation and shall hold CoreClaw harmless.

○ Indirect Loss: Under no circumstances shall CoreClaw be liable for any indirect, consequential, exemplary, incidental, or special damages (including but not limited to loss of profits, data loss, loss of goodwill, business interruption), whether based on contract, tort (including negligence), or other reasons, and whether or not we have been advised of the possibility of such damages.

5.3 Limitation of Liability:

To the maximum extent permitted by law, CoreClaw's total liability for all direct losses arising from these Terms shall be capped at the total amount of service fees you paid to us in the 12 consecutive months corresponding to the breach.

5.4 Risk Warning:

You acknowledge and agree that using crawler technology may face risks of IP blocking, account bans, or legal prosecution by target websites, and you independently evaluate and assume such risks.

6. Handling of Violations

If the platform discovers or receives reports/complaints and determines that a user has violated laws, these terms, or public order and morals, CoreClaw has the right to independently judge and take one or more of the following measures based on the severity of the circumstances:

(1) Warning;

(2) Deleting violating content (such as delisting scripts);

(3) Restricting or suspending some or all service functions;

(4) Freezing funds and commissions related to the violation;

(5) Suspending account use;

(6) Permanently banning the account and terminating services;

(7) Publicly exposing the violation;

(8) Reporting to relevant competent authorities;

(9) Pursuing the user's legal liability;

7. Service Changes, Interruptions, and Termination

7.1 Service Changes

We may modify service content or interrupt/terminate some or all services from time to time as needed.

7.2 Terms Changes

If you do not agree with modifications to these Terms or are dissatisfied with changes to the service, you have the right and should stop using the service. Continued use constitutes acceptance of the modifications.

7.3 Account Cancellation

You have the right to cancel your account through the functions provided by the platform. After cancellation, we will process your personal information according to applicable laws and《 CoreClaw Privacy Policy》

8. Service Fees

8.1 Fee Standards

Users must pay corresponding fees according to the pricing standards published on the platform.

8.2 Payment Processing

Payments will be processed through third-party providers (e.g., Credit Card, PayPal). We do not directly store your payment card information.

8.3 Refund Rules

All fees are prepaid and non-refundable after top-up (unless otherwise provided by laws). However, based on the "Success-Based Billing" principle, requests that do not successfully retrieve data will not be charged.

9. Anti-Fraud and Abuse

9.1 Prohibition of Fraud

Users shall not use the platform for any fraudulent activities, including but not limited to:

• Using multiple accounts to circumvent usage limits;
• Attempting to bypass the billing system;
• Fake transactions or money laundering;
• Exploiting platform vulnerabilities for improper benefits;

9.2 Fraud Handling

If fraudulent behavior is discovered, the platform has the right to immediately freeze the account and recover losses.

10. Privacy Protection

The protection of your personal information is vital to us. Our collection, use, storage, and sharing of your personal information will strictly comply with the separately published《 CoreClaw Privacy Policy》.

11. Governing Law and Dispute Resolution

11.1 Applicable Law

The conclusion, execution, interpretation, and dispute resolution of these Terms shall be governed by the laws of the Mainland of the People's Republic of China (excluding conflict of laws).

11.2 Dispute Resolution

Any dispute arising from or related to these Terms or services shall first be attempted to be resolved through friendly negotiation. If negotiation fails, either party has the right to submit the dispute to the people's court with jurisdiction in the location of CoreClaw's operating entity for resolution through litigation.

12. Others

12.1 Entire Agreement

These Terms constitute the entire agreement between you and CoreClaw regarding service matters and supersede any prior oral or written agreements.

12.2 Reservation of Rights

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

12.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or excluded to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.4 Non-transferability

You may not transfer any rights or obligations under these Terms to any third party.
